This document is a legal agreement between you (either an individual or a single entity, “you” or “User”) and Araelium (“Araelium,” “we,” “us,” or “our”) governing your access to and use of the Araelium AI Assistant service (the “Service”). By accessing, installing, or using the Service, you agree to be bound by the Terms of Service and Privacy Policy set out below (collectively, this “Agreement”). If you do not agree to all of the terms of this Agreement, you are not authorized to use the Service and must not access or use it.
Araelium AI Assistant (“the Service”) powers artificial-intelligence features integrated into Araelium's macOS and iOS applications, including features such as the “Query Assistant,” / “SQL Generator” in Querious. The Service acts as an intermediary to relay purposeful requests to artificial intelligence service providers (such as Anthropic, OpenAI, or any other “AI Provider”) in order to receive AI-generated responses.
You represent that you have the legal authority to enter into this Agreement, whether on your own behalf or on behalf of an organization you represent. You agree to use the Service only for lawful purposes and in accordance with this Agreement. You agree not to use the Service to:
You are solely responsible for determining whether it is appropriate for you to submit any given information to the Service, including whether doing so complies with any obligations you owe to third parties (employers, clients, regulators, contractual counterparties, etc.).
The Service is accessible only from within licensed copies of Araelium's applications, and only by users holding a valid license for the applicable application; it is not offered as a standalone product.
The Service relies on one or more independent, third-party AI Providers to generate responses to your chat messages. Those AI Providers operate under their own terms, policies, and infrastructure, which are outside Araelium's control. Araelium is not responsible for, and disclaims all liability arising from, the acts, omissions, availability, security practices, outages, policy changes, or output of any AI Provider. Your submission of information to AI Providers, and use of AI-generated output is at your own risk.
Araelium does not control, and is not responsible for, the AI Provider, the underlying AI models, or the content, accuracy, or behavior of any AI-generated output. AI-generated output may be incorrect, incomplete, misleading, outdated, or otherwise unsuitable for your purposes, including when applied to code, database structures, or queries. The Service and any output it produces are not a substitute for professional judgment, and are not legal, financial, medical, security, or other professional advice.
You are solely responsible for reviewing, testing, and validating any AI-generated output — including any generated code, queries, or schema suggestions — before relying on it or executing it in any environment, and in particular before running any generated command or query against a production system or live data.
Araelium retains all right, title, and interest in and to the Service, including all software, branding, and materials associated with it, except for request output returned to you. Subject to your compliance with this Agreement, Araelium grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works of the Service.
Araelium reserves the right, at its sole discretion and at any time, with or without notice, to:
Araelium shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service, or for any change described in this Section.
THE SERVICE, AND ANY OUTPUT, CONTENT, OR RESULTS PRODUCED THROUGH THE SERVICE, ARE PROVIDED STRICTLY “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE, AND ANY RELIANCE ON ANY OUTPUT IT PRODUCES, IS ENTIRELY AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARAELIUM DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, CONDITIONS, AND UNDERTAKINGS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR SECURITY. ALL SUCH WARRANTIES ARE HEREBY EXCLUDED.
WITHOUT LIMITING THE FOREGOING, ARAELIUM DOES NOT WARRANT THAT:
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM ARAELIUM OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARAELIUM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR SUPPLIERS (INCLUDING ANY AI PROVIDER) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ARAELIUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF ANY REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, ARAELIUM'S ENTIRE CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU ACTUALLY PAID TO ARAELIUM FOR USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) FIVE U.S. DOLLARS (US$5.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, ARAELIUM'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
You understand and agree that use of the Service, including any reliance on AI-generated output, involves inherent risks. These include, without limitation, the risk that output may be inaccurate, incomplete, misleading, offensive, or otherwise unsuitable for your purposes, and the risk that data you submit could be exposed or lost through circumstances outside Araelium's control. You voluntarily and knowingly assume all such risks.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE, WAIVE, AND FOREVER DISCHARGE ARAELIUM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, LOSSES, OR CAUSES OF ACTION OF ANY KIND, KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THE SERVICE.
IF YOU ARE A CALIFORNIA RESIDENT, YOU EXPRESSLY WAIVE THE PROTECTIONS OF CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” YOU UNDERSTAND THE SIGNIFICANCE OF THIS WAIVER.
You are solely responsible for your use of the Service, for any data you choose to submit through it, and for any consequences that result from your reliance on or use of any AI-generated output. You agree to indemnify, defend, and hold harmless Araelium and its officers, directors, employees, affiliates, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use or misuse of the Service; (b) your violation of this Agreement; (c) your violation of any applicable law or the rights of a third party; or (d) any data you submitted through the Service.
Araelium does not guarantee that the Service, or any particular feature of it, will be available or supported at any time, in any version of any Araelium application. Araelium shall not be liable for any failure or delay in the Service, or in performing any obligation under this Agreement, to the extent caused by circumstances beyond Araelium's reasonable control. The Service depends on third-party infrastructure and AI Providers outside Araelium's control, and the Service may be interrupted, delayed, degraded, or discontinued at any time without notice.
While Araelium intends to provide ongoing access to the Service — when reasonably possible — in all application versions supporting it, access to the Service in any particular version of an Araelium application — including older versions which previously supported access — is not guaranteed and may be discontinued.
Access to the Service is provided on a prepaid credit basis. Once an amount of credits has been consumed to process a request, those credits are non-refundable.
The amount of credits consumed to process a request is the request's “Cost”. Araelium makes a reasonable, good-faith effort to select cost-effective AI Provider solutions so as to offer reasonable value. This is a best-effort practice only.
A request's Cost is set dynamically, based on factors such as the AI Provider's own pricing, the model and effort/reasoning level used, and the length of the conversation and response. Araelium reserves the right, at its sole discretion and at any time, with or without notice, to change a request's Cost, the effort/reasoning levels offered, or the AI Provider(s) used to power the Service. Because of this, Araelium cannot predict, guarantee, or commit in advance to the Cost of any particular request, or the number of requests obtainable from any given amount of credits.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARAELIUM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING PRICING, COST PER REQUEST, CREDIT CONSUMPTION, OR VALUE RECEIVED FOR ANY CREDITS PURCHASED. YOUR PURCHASE AND USE OF CREDITS IS AT YOUR OWN RISK, CONSISTENT WITH SECTIONS 6 AND 7 ABOVE.
Araelium may revise this Agreement at any time by posting an updated version. Material changes will be indicated by an updated “Last Updated” date above. Your continued use of the Service after any change becomes effective constitutes your acceptance of the revised Agreement. If you do not agree to a revised Agreement, you must stop using the Service.
You and Araelium agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the Service (a “Dispute”) will be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or, for business use, its Commercial Arbitration Rules), conducted in or near Orange County, California, or another mutually agreed location or method, except that an individual Dispute may be brought in small claims court if it qualifies for that court's jurisdiction.
YOU AND ARAELIUM EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION; DISPUTES MUST BE BROUGHT AND RESOLVED IN AN INDIVIDUAL CAPACITY ONLY. IF THIS WAIVER IS FOUND UNENFORCEABLE AS TO A PARTICULAR DISPUTE, THAT DISPUTE MUST BE RESOLVED IN COURT RATHER THAN ARBITRATION, WITH THE REMAINDER OF THIS SECTION OTHERWISE UNAFFECTED.
To the extent permitted by applicable law, any claim or cause of action arising out of or relating to this Agreement or the Service must be filed within one (1) year after the claim or cause of action first arose, or it will be permanently barred, regardless of any statute or law to the contrary.
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Subject to Section 13 (Arbitration Agreement and Class Action Waiver), any Dispute not subject to arbitration shall be subject to the exclusive jurisdiction of the state and federal courts located in California, and you consent to personal jurisdiction and venue in those courts.
Araelium may assign or transfer this Agreement, in whole or in part, without restriction or notice, including in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign or transfer this Agreement, or any of your rights or obligations under it, without Araelium's prior written consent, and any attempted assignment in violation of this Section is void.
Araelium's failure to enforce any provision of this Agreement shall not be deemed a waiver of that or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Araelium.
If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
This Agreement (comprising the Terms of Service and Privacy Policy above) constitutes the entire agreement between you and Araelium regarding the Service and supersedes all prior or contemporaneous understandings regarding the Service.

No table content data — i.e., the actual rows, records, or values stored in your database — is ever accessed, collected, or transmitted by the Service, under any circumstance.
Based on Araelium's configuration of and agreements with its AI Provider(s):
AI Providers are independent third parties with their own privacy practices, security controls, and policies, which may change at any time and which Araelium does not control. Araelium makes reasonable efforts to select and configure AI Providers consistent with the practices described above, but cannot guarantee, warrant, or be held responsible for the AI Provider's actual conduct, security, or compliance with its own stated policies. If you require further assurance, we encourage you to review the AI Provider's own terms and privacy policy directly, which govern their handling of your data independently of this Privacy Policy:
While Araelium has made efforts to minimize data collection and retention, no method of electronic transmission or storage is completely secure, and no service — including this one — can guarantee absolute privacy, confidentiality, or security. You acknowledge that you use the Service, and submit any information through it, entirely at your own risk. You should not submit information through the Service that you cannot afford to have exposed, intercepted, or accessed by an unauthorized party.
The Service is not directed to, and should not be used by, individuals under the age of 18 (or the age of majority in your jurisdiction). Araelium does not knowingly collect data from children.
Araelium may update this Privacy Policy from time to time. Changes are effective when posted. Your continued use of the Service after a change is posted constitutes your acceptance of the revised policy.
